Terms of Service

1. Agreement
These Terms of Service ("Terms") form a binding agreement between you ("Customer") and Sector88 ("we", "us") covering your use of the sector88.co website, the Runtime and Hub software, and any related services (together, the "Services").
By downloading, installing, running, or purchasing a licence to any part of the Services you accept these Terms. If you do not accept them, do not use the Services.
2. The Services
Sector88 Runtime and Hub are self-hosted software you install on your own hardware. The Services do not include managed hosting, inference compute, or cloud delivery of models.
The Community edition is free to use for evaluation and development, subject to these Terms. Production licences are scoped to your environment and issued under a written order form, and unlock additional features (multi-node Hub, full backend matrix, hardened deployment) for a paid subscription.
Forward-deployed engineering services, audits, and professional services are offered under a separate written order form and are not covered by a self-serve subscription.
3. Licence grant
Subject to your compliance with these Terms, we grant you a non-exclusive, non-transferable, non-sublicensable licence to install and run the Services on hardware you own or lawfully control, solely for your own business purposes.
You must not:
- Copy, distribute, or resell the Services without our written permission.
- Reverse engineer, decompile, or disassemble the Services except to the extent expressly permitted by law.
- Remove or obscure any proprietary notices or licence keys.
- Use the Services to build a competing product.
- Circumvent licence validation, tier gating, or feature limits.
- Use the Services in violation of applicable law, including export control law.
4. Account and licence keys
You are responsible for keeping your licence key confidential. A licence key is bound to a limited number of hardware fingerprints (by default, three). If you lose a key or need to re-bind it to different hardware, email support@sector88.co.
You are responsible for all use of the Services by your employees, contractors, and anyone else operating under your licence. Sharing a licence key with a third party, or using a single licence across more hardware than permitted, is a breach of these Terms.
5. Fees and billing
Production licences are scoped per environment and quoted in writing as part of an order form. Fees are billed in the currency, cadence, and term set out in that order form. We may change pricing with notice; existing paid terms are honoured until their current renewal.
Payments are processed through our payment provider. You authorise us and the payment provider to charge your chosen payment method for the subscription fee, any applicable taxes, and any renewals until you cancel.
Invoices are sent by email at the start of each billing period. Amounts are exclusive of any value added tax, goods and services tax, or sales tax, which is added where applicable. You are responsible for any withholding taxes in your jurisdiction.
Late payment: if a scheduled charge fails, we will retry and email you. If payment remains unresolved, we may suspend or revoke the licence after a reasonable notice period.
6. Pilots and evaluations
Pilots and paid evaluations, where offered, are governed by the order form for that pilot, including scope, duration, fees, and success criteria. The Community edition is available free for developer evaluation on your own hardware.
7. Cancellation and refund policy
Cancellation. You may cancel a subscription at any time, subject to the notice period in your order form. Cancellation takes effect at the end of the current billing period; your licence remains valid until then and does not renew thereafter. To cancel, contact your account team or email support@sector88.co.
Refunds. We do not routinely refund fees paid for subscription periods already in progress or completed. If you believe you were charged in error, if our Services materially failed to perform, or if exceptional circumstances apply, email support@sector88.co within 30 days of the charge and we will review the situation in good faith. Refunds, when granted, are applied to the original payment method.
Statutory rights. These provisions do not reduce any non-waivable statutory right you have in your jurisdiction, including consumer cooling-off rights under UK or EU law where applicable.
Termination for breach. We may suspend or terminate your licence if you materially breach these Terms, if you use the Services in violation of law, or if non-payment is not resolved after notice. On termination you must stop using the Services and delete any licence keys.
8. Customer data
Sector88 does not receive, store, or process inference content generated by your deployments. Prompts, completions, model weights, and audit logs stay on your infrastructure. Personal information you submit through the website or support channels is handled per our Privacy Policy.
9. Warranties and disclaimers
We warrant that we will provide the Services with reasonable skill and care. Except for that warranty and any warranties that cannot be excluded under applicable law, the Services are provided "as is" and "as available". We disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
The Services are not certified for use in life-critical systems without a separate written agreement covering such use.
10. Limitation of liability
To the fullest extent permitted by law, our aggregate liability arising out of or relating to these Terms in any 12-month period is limited to the amount you paid to us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages, or for loss of profit, revenue, data, or goodwill.
Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability that cannot be limited under applicable law.
11. Indemnity
You will indemnify us against any third-party claim arising from your use of the Services in violation of these Terms or applicable law, subject to our notifying you promptly of the claim and cooperating with your defence at your expense.
12. Intellectual property
We retain all rights in the Services, including in source code, trademarks, documentation, and improvements. No rights are granted to you other than those expressly set out in section 3. Feedback you give us about the Services may be used by us without restriction or attribution.
13. Export control and sanctions
You may not use the Services in, or export them to, a country or to a person subject to export control or sanctions restrictions that would prohibit that use. You represent that you are not on any restricted-parties list and that you will comply with applicable export control law when using the Services.
14. Changes to the Services or these Terms
We may modify the Services over time. We may update these Terms and will post the new version here with an updated "Last updated" date. Material changes will be notified by email or in-product notice. Continued use of the Services after the effective date of the change constitutes acceptance.
15. Governing law and disputes
These Terms are governed by the laws applicable at our place of incorporation, and any dispute arising from or relating to the Services or these Terms will be resolved in the courts of that jurisdiction. The parties will first attempt to resolve any dispute informally before initiating legal proceedings.
16. Miscellaneous
These Terms, together with any order form, form the entire agreement between you and us concerning the Services. If any provision is held unenforceable, the remainder remains in force. Our failure to enforce any right is not a waiver. You may not assign these Terms without our written consent; we may assign them to a successor in a merger, acquisition, or sale of substantially all of our assets.
